Midori Capital LLC is intended to operate as an investment fund, referred to as “The Company” or “Fund” or “Fund”. The Manager expects to originate and acquire Fund Assets on a frequent and ongoing basis and will continue to do so indefinitely until the Maximum Offering has been reached, or until the Manager believes market conditions do not justify doing so
The Fund seeks targets within the legal cannabis industry in California who require strategic partnership. Such potentials may include but not limited to specialty financing, equipment leasing, co-investment, strategic advisory, mergers and acquisitions.
The Manager intends generally to utilize the return of capital from the disposition of Fund Assets to originate and acquire new Fund Assets while maintaining enough liquid reserves to service regular note interest payments and accumulate enough cash for the final principal maturity of the same notes
The Fund may enter into profit sharing arrangements structured as lease payments, dividends, profit sharing payments or other form of recurring regular payments with licensed legal cannabis licensees for cultivation, manufacturing, distribution, nursery and retail.
The Fund investment strategy is biased to considering deals which are cash flowing rather than equity building. This allows the Fund to concentrate on recurring revenue opportunities particularly in the higher margin manufacturing and cultivation spaces
Midori Capital currently only accepts institutional investors, family offices and accredited investors.
Midori Capital will verify the investors ability to receive information in investment offerings.
The Fund aims to seek opportunities and assets where the initial capital outlay is recovered within the first 12 months. The projected longevity of each opportunity sought is intended to be 36 months and beyond. One of the basic priorities of the Fund strategy is to de-risk each capital outlay as quickly as possible.
